Acceptance of Terms

By accessing or using the AegisPrompt website (the "Site"), Chrome extension, or any related services (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use the Site or Service.

Definitions

  • Service: The AegisPrompt Chrome extension, web application, admin dashboard, and related tools.
  • User, you, your: Any individual or entity accessing or using the Site or Service, including company administrators and team members.
  • Company, we, us: AegisPrompt LLC and its affiliates.
  • Customer: A company or organization that subscribes to the Service.
  • Administrator: The individual who creates and manages a Customer account.
  • Team Member: An individual added to a Customer account by an Administrator.

License Grant

Subject to your compliance with these Terms and an active subscription, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your organization's internal business purposes.

Subscription Plans and Billing

Available Plans

  • Starter ($99/month): Up to 25 team members
  • Professional ($199/month): Up to 100 team members, custom company terms
  • Business ($399/month): Up to 500 team members, custom company terms, dedicated support

Free Trial

All plans include a 30-day free trial. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using the Service.

Billing

  • Subscriptions are billed monthly through Stripe.
  • Plan changes (upgrades or downgrades) take effect immediately. Prorated charges or credits are applied to the current billing period.
  • You may cancel your subscription at any time. Access continues until the end of the current billing period.
  • We reserve the right to change pricing with 30 days' notice to existing customers.

Service Limitations and User Responsibility

⚠️ Important: Service Limitations

The Service is designed to ASSIST users in identifying potentially sensitive information before sharing with AI platforms. However:

  1. The Service is NOT a comprehensive data loss prevention (DLP) solution and does not guarantee detection of all sensitive information.
  2. Users remain solely responsible for reviewing and deciding what information to share with AI platforms.
  3. The Service may have false positives (flagging non-sensitive content) and false negatives (missing sensitive content).
  4. Users acknowledge that no automated detection system is 100% accurate.
  5. The Company is not responsible for any data breaches, privacy violations, or consequences resulting from information shared with AI platforms, whether or not the Service detected such information.
  6. Users must exercise their own judgment and cannot rely solely on the Service for data protection decisions.
  7. Custom company terms (available on Professional and Business plans) are configured by the Customer's Administrator. We are not responsible for the completeness or accuracy of custom detection rules.

Account Responsibilities

Administrators

  • You are responsible for managing your team members and seat allocation.
  • You are responsible for maintaining accurate billing information.
  • You must ensure that only authorized individuals are added to your company account.
  • You are responsible for configuring custom detection terms appropriate for your organization.

All Users

  • You must provide accurate information when creating an account.
  • You will not use the Service for unlawful purposes or to transmit harmful or illegal content.
  • You acknowledge that you remain responsible for all data security decisions.
  • You will not attempt to circumvent, disable, or interfere with the Service's security features.
  • You will not share your account credentials with unauthorized individuals.

Data Processing

The Service processes text content locally within the user's browser to detect potentially sensitive information. No text content, chat messages, or detected sensitive data is transmitted to or stored on our servers. For full details on data handling, please refer to our Privacy Policy.

Supported Platforms

The Service currently supports the following AI platforms: ChatGPT (OpenAI), Claude (Anthropic), Gemini (Google), and Microsoft Copilot. Additional platforms may be added over time. We do not guarantee compatibility with all versions or configurations of these platforms.

Modifications to Service and Terms

We reserve the right to modify, update, or discontinue any part of the Service at any time. We may update these Terms, and your continued use after changes constitutes acceptance of the updated Terms. Material changes will be communicated via email to the Administrator on file.

Intellectual Property

All content, software, logos, and trademarks associated with the Service are our property or licensed to us. You may not copy, modify, reverse engineer, or distribute any part of the Service without express written permission.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

  • That the Service will detect all sensitive information
  • That the Service will prevent all accidental data sharing
  • That the Service provides complete privacy or data loss protection
  • That the Service will be uninterrupted, error-free, or secure
  • Merchantability, fitness for a particular purpose, and non-infringement

THE SERVICE IS AN ASSISTANCE TOOL ONLY. USERS REMAIN FULLY RESPONSIBLE FOR THEIR DATA SECURITY DECISIONS.

Limitation of Liability

To the fullest extent permitted by law, AegisPrompt LLC and its affiliates, officers, and employees will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Service.

You acknowledge that the Service is designed to assist, not replace, your own judgment regarding data privacy. We are not liable for any consequences of data sharing that occurs despite using our Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless AegisPrompt LLC from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

Termination

  • You may cancel your subscription at any time through the admin dashboard or by contacting support.
  • We may terminate or suspend your access for violation of these Terms, non-payment, or if your use poses a security risk.
  • Upon termination, your right to use the Service ceases immediately at the end of the current billing period.
  • Sections on intellectual property, disclaimer, limitation of liability, indemnification, and governing law survive termination.

Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict-of-law provisions.

Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Maryland.
